Partnership Requirements
- Licensed Entities: Clients must be properly licensed to receive and contact insurance leads in all relevant jurisdictions
- Compliance Commitment: Clients must maintain compliance with all applicable federal and state laws, including TCPA, state insurance regulations, and consumer protection laws
- Lead Handling: Proper handling, storage, and protection of consumer information according to applicable privacy laws and industry standards
- Insurance Requirements: Clients must maintain appropriate professional liability insurance and bonding as required by applicable regulations
- Marketing Practices: All client marketing and sales practices must comply with applicable laws and maintain industry ethical standards
Payment Terms
- Payment Schedule: Net 30 payment terms unless otherwise agreed in writing
- Pricing Structure: Based on agreed Cost Per Lead (CPL), Cost Per Acquisition (CPA), or other mutually agreed pricing models
- Invoice Disputes: All billing disputes must be reported in writing within 15 days of invoice date
- Late Payments: Overdue accounts are subject to 1.5% monthly service charge and suspension of services
- Credit Approval: New clients may be subject to credit approval and may be required to provide deposits or guarantees
Lead Quality and Disputes
- Quality Standards: All leads must meet mutually agreed-upon qualification criteria and demographic requirements
- Dispute Window: Lead quality disputes must be submitted in writing within 24 hours of lead delivery with specific reasons and documentation
- Resolution Process: Disputes will be investigated promptly and resolved based on available tracking data, recordings, and documentation
- Credit Policy: Valid disputes may result in lead credits, refunds, or adjustments at our sole discretion
- Performance Monitoring: We monitor lead quality and client feedback to continuously improve our services

Indemnification
Client Indemnification
Clients agree to indemnify and hold BTP Affiliate harmless from claims arising from:
- Non-compliance with applicable laws, regulations, or licensing requirements
- Improper handling, use, or disclosure of consumer information
- Violation of these Terms or related agreements
- Negligent or willful misconduct in the handling of leads or customer relationships
- Claims related to insurance products, services, or coverage provided by Client
Termination
Termination Rights
- Either Party: May terminate the relationship with 30 days written notice for any reason
- Immediate Termination: Either party may terminate immediately for material breach, non-payment, or legal violations
- Regulatory Termination: We may terminate immediately if client loses required licenses or regulatory standing
- Compliance Termination: We reserve the right to terminate for compliance violations or practices that create legal risk
Post-Termination
- Outstanding Obligations: All payment and performance obligations survive termination
- Data Handling: Consumer data will be handled according to our Privacy Policy and applicable laws
- Confidentiality: Confidentiality obligations continue indefinitely post-termination
- Final Accounting: Final accounting and payment of all outstanding amounts within 30 days
Dispute Resolution
Informal Resolution
Before initiating formal legal proceedings, parties agree to attempt good faith informal resolution of disputes through direct negotiation and discussion.
Arbitration
- Binding Arbitration: Most disputes will be resolved through binding arbitration rather than court proceedings
